Title	Algorithmic Governance and the Asian Corporation: Recalibrating Fiduciary Responsibility in a Digital Economy
Abstract	Artificial Intelligence (AI) has changed Corporate Decision-Making; from the assessment of risk to forecasting strategy and therefore how Boards are expected to act in accordance with their fiduciary duties. The fiduciary duty framework under which the laws of Corporate Law in Asia operate still assumes Human Agency, thus provides no direction or guidelines as to the accountability of those responsible for making critical decisions influenced by algorithms. This research considers how fiduciary duties need to evolve to support the governance demands of Corporations enabled by AI, with comparative insights into the developments of India, Singapore, Japan and South Korea. Situating Algorithmic Governance in the broader discussion on Corporate Oversight and Ethical Accountability, this research proposes a Triad of Fiduciary Duties: the Duty of Algorithmic Literacy, the Duty of Explainability and Oversight, and the Duty of Ethical Risk Governance. Together these duties provide a platform for Directors to be positioned as "Algorithmic Stewards" providing Transparency, Fairness and Sustainability in the deployment of AI. Through combining Doctrinal Reasoning with Emerging Governance Codes, the Research supports Adaptable Fiduciary Frameworks supporting Innovation, Justice and Sustainable Economic Growth across Asia's Digital Economy. Biography	Mr. Arghyadeep Chakraborty is a PhD candidate and a Full Time Research Fellow at Rajiv Gandhi School of Intellectual Property Law, Indian Institute of Technology Kharagpur, India. Mr. Chakraborty's research interest area includes Corporate Governance in the Age of Artificial Intelligence; specifically looking at the impact of emerging technologies on Fiduciary Responsibilities of Boards, Board Accountability and Regulatory Design. Mr. Chakraborty received the Gold Medal for achieving the highest GPA when completing his Master of Laws degree, and has a solid combination of both Legal Practice and Interdisciplinary Research. Prior to pursuing academia Mr. Chakraborty worked as a Corporate Lawyer in front of the Calcutta High Court and the National Company Law Tribunal, and specialized in Corporate Disputes and Regulatory Compliance. In addition to being a qualified Civil-Commercial Mediator, Mr. Chakraborty brings together practical experience and theoretical expertise to his study on Governance Frameworks and Ethical Regulation. Mr. Chakraborty completed his LL.M. from Sister Nivedita University (2021-2023), and completed his B.A., LL.B. (Hons.), from Amity University Kolkata (2015-2020). Mr. Chakraborty's academic and professional interests intersect around the nexus of law, technology, and governance — investigating the ways that Legal Systems can evolve to maintain accountability and sustainability within AI-based Corporate Ecosystems.
