Title
Study of Practical Issues in Judicial Dissolution —— In the Context of Company Deadlock
Abstract
The article aims to conduct an in-depth study into the practical issues involved in judicial dissolution in the context of company deadlock. It first sets out the basic principles of judicial dissolution and summarizes the basic concepts, types and elements of the same. Then, it examines the historical development of judicial dissolution in Chinese law, followed by a detailed exposition of the legal provisions relating to judicial dissolution under current law. In the chapter on analysis of practical issues, the article attempts to sort the judicial dissolution cases that arise in practice into finer categories, discuss in detail the issue of shareholder oppression, and expand the traditional interpretation of “company deadlock”. Finally, the article provides an in-depth dissection and analysis of the strategies to resolve company deadlock, with a view to providing legal and practice guidance to safeguard the legitimate rights and interests of shareholders and ensure the smooth operation of the company. Through this study, the article seeks to bring new perspectives and creative solutions to the field of company law and corporate governance.
