Course Description:
This course is an introduction to the regulation of the complex world of companies. Topics covered will include (in broad terms) the effects of incorporation; internal management of companies; external relations; criminal liability; and the role and duties of corporate officers. The aim of the course is to equip students with the tools to analyse problems in practice and advise clients on appropriate solutions. There will also be exercises involving litigation. Students should pay attention to what is going on in the business world. This will form the backdrop against which the course is conducted.
