Law of Contract

Course Description:
One of the core curriculum courses of the NUS Law degree programme, this foundational course examines the general principles of Singapore contract law (including statutes and equity), including the creation of rights and obligations from voluntary undertakings, the doctrines which circumscribe the circumstances under which the law permits a dissolution of the contract, and the remedies that the law provides for the breach of contractual obligations.

Students in this course can expect exposure to the following aspects of contract law:

  • The formation of contracts and legally enforceable promises

  • Terms of a contract

  • Performance, breach and termination of contracts

  • Discharge of contracts by frustration

  • Legal remedies for breach of contract

  • Privity of Contract

  • Vitiating Factors - Misrepresentation, Mistake, Illegality, Duress/Undue Influence and Unconscionability


  • Apart from examining the doctrinal rules and legal principles underlying these aspects of contract law, the course introduces students to the role of other policy values that shape this area of the common law.
