Course Description:
This course explores the legal structure of startup finance, including venture capital, angel investing, and initial public offerings, as well as emerging forms such as investment crowdfunding. We will examine entity structure, offering type, super-voting shares, and other legal aspects of entrepreneurial finance. Comparative attention will be paid to the law of the United States, the EU, and/or Oceania.
